Conservation Registry Terms of Use

By using the Defenders of Wildlife Conservation Registry (the "Registry"), you ("You") accept and agree to be bound by the these terms and conditions ("Terms of Use"), in addition to any terms of use or terms of service specifically incorporated in these Terms of Use as provided section 1.4 below. It is important for You to read these Terms of Use and any documents incorporated herein as they form a legal agreement between You and Defenders of Wildlife regarding Your use of the Registry.

1. The Registry.

1.1 Description of the Registry. The Registry allows You to record, track, map, search, report and/or manage information on conservation projects across the landscape subject to the limitations and conditions described below. The information accessible through the Registry, not limited to map information, is referred to in this document as "the Content." Subject to the limitations and conditions described in these Terms of Use, You may use the Registry to record, track, map, search, report and/or manage information on conservation projects. You may not access, reproduce, or use the Content for any other purpose.

1.2 Access to the Registry. Content in the Registry includes data and location information (via a mapping tool) and User Submissions as defined below on conservation projects across the landscape. Your use of this Content is limited to private, non-commercial use, and in the same manner, form, format, and appearance as it is provided by the Registry. You may not, nor may You allow others to, copy, distribute, display, alter, or otherwise use the Content except as it is provided to You through the Registry. Defenders of Wildlife reserves the sole right and discretion to determine whether Your use of the Registry is in conformance with this Section, and also reserves the right to terminate or suspend Your access to the Registry at any time for any reason, without notice.

1.3 Modifications. Defenders of Wildlife reserves the right to release subsequent versions of the Registry. Defenders of Wildlife may modify these Terms of Use at any time with or without notice, and You can review the most current version of these Terms of Use online at any time at http://conservationregistry.org/terms_of_usage. If You continue to use the Registry, You will be deemed to have accepted the modifications.

Defenders of Wildlife grants You permission to use the Website as set forth in these Terms of Use, provided that: (i) Your use of the Registry as permitted is solely for Your noncommercial use; (ii) You will not alter or modify any part of the Registry or the Website housing the Registry other than as may be reasonably necessary to use the Registry for its intended purpose; and (iii) You will otherwise comply with the terms and conditions of these Terms of Use. In addition, because the Registry makes use of software provided by third parties, You are required to comply with all of the terms of service and/or use to which Defenders of Wildlife is subject as a result of such use. Those documents, which are expressly incorporated herein by reference, may be found at the following addresses: http://www.salesforce.com/company/msa.jsp; http://www.google.com/accounts/TOS; http://maps.google.com/help/terms_maps.html; and http://code.google.com/apis/maps/terms.html. You agree that You are responsible for Your own conduct and content while using the Registry and for any consequences thereof. You agree to use the Registry only for purposes that are legal, proper and in accordance with these Terms of Use and any applicable policies or guidelines. By way of example, and not as a limitation, You agree that when using the Registry, You will not:

The Registry may now or in the future enable the hosting, sharing, and/or publishing of such User Submissions. You understand that whether or not such User Submissions are published, Defenders of Wildlife does not guarantee any confidentiality with respect to any User Submissions.

            (b)       You shall be solely responsible for Your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, You affirm, represent, and/or warrant that You own or have the necessary licenses, rights, consents, and permissions to use and authorize Defenders of Wildlife to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Registry and these Terms of Use. By submitting User Submissions to the Registry, You hereby grant Defenders of Wildlife a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Registry and Defenders of Wildlife's (and its successor's) activities, including without limitation for promoting and redistributing part or all of the Registry (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Registry a non-exclusive license to access Your User Submissions through the Registry, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Registry and under these Terms of Use.

            (c)        In connection with User Submissions, You agree that You will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless You are the owner of such rights or have permission from their rightful owner to post the material and to grant Defenders of Wildlife all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage Defenders of Wildlife or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business: (v) impersonate another person. Defenders of Wildlife does not endorse any User Submission or any opinion expressed therein, and Defenders of Wildlife expressly disclaims any and all liability in connection with User Submissions. Defenders of Wildlife does not permit copyright infringing activities and infringement of intellectual property rights on its Registry, and Defenders of Wildlife will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. Defenders of Wildlife reserves the right to remove Content and User Submissions without prior notice. A repeat infringer is a user of the Registry who has been notified of infringing activity more than twice and/or has had a User Submission removed from the Registry more than twice. Defenders of Wildlife also reserves the right to decide whether a User Submission is appropriate and complies with these Terms of Use for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material. Defenders of Wildlife may remove such User Submissions and/or terminate a User's ability to upload such material at any time, without prior notice and at its sole discretion.

            (d)       If You are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon Your copyrights, You may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

(iii)          Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;

(iv)          Information reasonably sufficient to permit the service provider to contact You, such as an address, telephone number, and, if available, an email address;

(v)           A statement that You have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

(vi)          A statement that the information in the notification is accurate, and under penalty of perjury, that You are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
